1) General

These general sales conditions set the terms governing all sales operations of products supplied by PT POLIMER TECNIC, S.L.U. (hereinafter “SELLER”) to its customers. Any modification of these conditions will only be applicable if previously confirmed in writing by the SELLER. The delivery of goods or provision of services by the SELLER does not constitute recognition of other sales conditions, even in cases where the customer has general purchasing conditions or where other terms are established by law.

2) Calculations

There may be minor rounding differences between the calculated amounts and those shown on the invoice. This is due to internal computer operations and the differences in rounding criteria among various programs. We understand that these differences may sometimes be higher or lower, and therefore, in the long run, the effect should be neutral. We do not accept claims in this regard.

3) Estimates

The customer has access to the current price rate tables and applicable discounts. Specific estimates for non-rated materials will be made free of charge. For rated materials, the estimate will be billed considering the current hourly rate in units of 0.25 hours. Acceptance of the estimates prepared by the SELLER implies unreserved acceptance of the General Sales Conditions. Offers are subject to confirmation.

4) Orders

Only written orders will be accepted, whether by mail, fax, or email. Any telephone or verbal order must be confirmed in writing by the customer. The SELLER will issue an order confirmation that must be verified by the customer. This order confirmation document and the delivery note will be considered the only valid documents in case of a claim. If these documents are not available, the claim will not be accepted. Payment for the first order or orders under 300.00 EUR will be made in cash, by credit card, or prior transfer. Administrative and internal logistics management costs will be billed at 3.00 EUR per delivery note under 200.00 EUR.

5) Rates

Each product family has its own price rate. Discounts apply to each rate and product family and are not interchangeable between them. The SELLER reserves the right to establish special prices and offers as well as specific conditions for certain products.

6) Delivery

The SELLER will indicate the delivery time in the order confirmation based on material availability, manufacturing, means, and routes. Shipping costs are borne by the customer according to current rates. The SELLER will not be liable for damages caused to the Buyer as a result of delays in the arrival of the goods, unless such delays were caused by reasons attributable to the SELLER and the SELLER could not justify the delay. Any special order condition related to the delivery time must be accepted in writing by the SELLER. Under no circumstances will charges for delay be accepted for justified cause or force majeure. Partial deliveries are possible. Responsibilities for incomplete orders are not accepted.

7) Custom Cutting

The full sheet will be billed, according to available sizes. A 10% surcharge applies for cutting to smaller sizes. Minimum order is 10 pieces per size. Less than 10 pieces per size or more than 9 pieces per sheet: 20% surcharge. Mass cutting or sizes smaller than 500×500 will be billed for cutting time in units of 0.25 hours according to the current rate.

8) Cancellation/Rescission

Cancellations will not be accepted after receipt of the order as the manufacturing processes will have begun. An order will not be considered canceled without written confirmation from Polimer Tecnic, S.L.U.

9) Prices

Unless expressly agreed, our prices do not include packaging, insurance, shipping, VAT, or other applicable taxes.

10) Tolerances

Material is supplied according to the current ISO product standards and in accordance with our technical specifications available on our website. Quantity tolerance: For orders of cut or manipulated pieces, a tolerance of +/- 10% on the total supplied pieces will be applied. Specific production: Manufacturing a reference to measure (color/thickness) requires the Buyer’s agreement to accept +/-10% of the quantity of manufactured sheets, due to the complexity of production. All cast acrylic sheet production in whole sheet 3050×2050 generates tolerances due to the production process, implying the customer must accept standard measures in a limited number of pieces (2500×1500 and 2000×1500). Otherwise, a 20% surcharge on said product will be applied to compensate for waste and disposal costs of said subproduct.

12) Packaging and Shipping

Packaging and shipping costs are borne by the customer unless otherwise agreed. See current transport and packaging rates.

13) Liability and Transport Insurance

When goods are collected from our warehouses, we guarantee their quality until they leave our premises. The material must be inspected by the buyer at the time of collection. Acceptance of the goods presumes the buyer’s agreement with these Sales Conditions and the special conditions of any commercial transaction. Goods travel at the buyer’s risk, even when shipped prepaid. For prepaid shipments, the company reserves the right to choose the carrier and shipping method that fit the quoted budget. If the customer decides otherwise, they will bear the additional costs. Possibility of additional insurance to be agreed upon. Transport claims: According to the Commercial Code Title VII. Art. 366: “Claims against the carrier for damage or loss found upon opening the packages can be made within twenty-four hours after receiving the goods, provided that the damage or loss signs are not visible on the exterior, in which case the claim must be made at the time of receipt. No claims will be accepted after the specified periods, or once the freight charges have been paid.” No delivery claims will be processed after this period. Any visible defect must be noted on the CMR document or delivery note; otherwise, it will not be accepted.

14) Force Majeure

Conditions of force majeure relieve us from our delivery obligations.

15) Claims and Returns Management

If there are quality or quantity problems, the Buyer must notify in writing to the following address: PT POLIMER TECNIC SLU, c/ Romaní. nº 2, 17457 Riudellots de la Selva (Girona), within 8 calendar days of delivery. It is essential to include the product lot number printed on the label or directly on the sheet for processing. Any claim after this period will not be accepted. The buyer is responsible for any resale of the material, whether transformed or not, to a third party. Returns of material will not be accepted without prior written communication and agreement with our Agents. All returned goods must have the claim document issued by our sales department. Shipments without this information will not be accepted by our receiving department. In case of a claim, a non-conformity procedure will be opened for defective and/or damaged products. Once it is determined if the claim is justified, the affected material will be replaced without any additional compensation. A sales receipt and the allegedly defective material must be provided. The material credit is subject to final inspection in our laboratories. Material issues due to transport must be noted on the delivery note or CMR document, providing a copy to the carrier delivering the goods. This must be in our possession within 24 hours to proceed with the claim within the legal period.

16) Warranties

The SELLER guarantees that all material is supplied according to the specifications in our product technical properties documentation and that the supplied goods are free from manufacturing defects. The buyer cannot claim for defects in use and/or application of the materials. Under no circumstances is the company responsible for the suitability of the material for an application, load resistance, or any process it is subjected to, such as cutting, thermoforming, gluing, bending, etc. In the case of duly justified quality claims of the material, the Company, upon presentation of the purchase delivery note and laboratory verification, guarantees only the replacement of the goods. The standard properties of the materials will be governed by internationally accepted ISO manufacturing standards. The warranty is limited to a maximum of one year. Other specific standards will be subject to the company’s criteria and prior acceptance. The warranty does not apply if the material has been exposed to corrosive or solvent environments or aggressive materials, or if not specified with UV protection for outdoor use. All information regarding our products, including Technical Manuals, if available, is based on data provided by our suppliers and our own experience. Our information only describes the products, provided in good faith within the limits of our knowledge, and cannot be interpreted as a warranty.

17) Payments

Unless previously agreed, it is understood that the Buyer must make payment in cash upon delivery of the goods or service. Credit is subject to the limit granted by the credit insurance company. Once credit is granted, payment will be made by direct debit, prior transfer, or Visa credit card. For custom orders and manufacturing, a 50% advance payment of the amount will be requested for customers with an open credit account. In other cases, the payment will be 100% in advance at the order.

18) Credit Policy

Granting: All sales made by this company are insured by a commercial credit insurance company. Identifying data for the credit application will be provided at the account opening and/or first order. Credit granting or review will be confirmed within approximately 15 days. An order cannot be invoiced to a company without granted credit. Third-party changes between companies of the same group will not be accepted without the same procedure.

19) Data Protection Policy

In accordance with the provisions of Organic Law 15/1999 on the Protection of Personal Data, we inform you that the personal identification data you provide will be processed automatically in the files of PT POLIMER TECNIC SLU, for the purpose of managing commercial relationships and will only be provided to entities legally authorized to do so. You may, at any time, exercise your right of access, rectification, cancellation, and opposition under the terms established in Organic Law 15/1999. The file manager is PT POLIMER TECNIC SLU, located at calle Romaní, nº 2, 17457 Riudellots de la Selva – Girona – Spain.

20) Retention of Title

Authorization granted by the seller allows the buyer to sell or use the goods within the normal scope of their business. This authorization will be automatically revoked upon the first payment default. We reserve ownership of the delivered goods until full payment.

21) Jurisdiction

Sales operations, regardless of the place of delivery, are legally executed at the registered office of PT POLIMER TECNIC, SLU. Drafts, receipts, or any other payment method are merely documents to facilitate payment and do not change the jurisdiction, which is established in Girona, for all legal purposes. All matters relating to the validity, interpretation, or execution of our contracts, whether in demand or defense, will be under the exclusive jurisdiction of the courts of Girona. If any condition is partially or entirely invalid, it will not affect the validity of the remaining conditions.

22) Validity

Effective from January 1, 2010, and indefinite until this document is repealed or modified.
